We’re looking for a motivated and experienced Contracts Manager to join Confluence’s growing Legal team. In this role, you’ll partner with cross-functional stakeholders to ensure that our Legal department is providing exceptional and timely sales support and enablement to our global sales staff in an evolving and growing company. You’re expected to be a collaborator, project manager, and self-starter able to handle multiple deals simultaneously.

As a Contracts Manager, you’ll work with the Sales, Finance, IT, Information Security, Product, and Professional Services teams to provide exceptional and timely in-house, legal advice and support to the whole company. We are looking for someone with a passion for technology and deep knowledge of getting Software-as-a-Service (“SaaS”) contracts done to provide practical and solutions-oriented guidance to your business partners, effectively calculate and communicate potential risks, manage workloads, and prioritize multiple corporate demands. This is an exciting, new position that is designed to enhance and contribute to the company’s continued growth and success around the world.

This position reports to our Deputy General Counsel and has the opportunity to work remotely or be based (full-time or hybrid arrangements) in our Pittsburgh or London office locations.  If based remotely, an ability to travel occasionally is required.

What you’ll do:

  • Contract review, drafting (with occasional attorney support) and negotiation of a wide range of customer-facing agreements, including NDAs, SaaS and non-SaaS license master agreements, order forms and associated WOs or SOWs, vendor forms, and other related agreements and amendments
  • Help develop, roll out, and own, best practices for creating and maintaining contract templates, contract playbooks, escalation processes, sales enablement training and tools, and FAQs, as well as supporting the approval and signature process for all corporate revenue contracts
  • Work with intra-divisional stakeholders (including Sales, Finance, IT/InfoSec, Product teams) to shepherd contracts through negotiations and through the approval process to signature
  • Identify risks arising from customer contract demands and be able to communicate those risks to appropriate internal decision-makers (including Sales, Finance, Professional Services, Tax, IT/InfoSec, etc.) for discussion and resolution.
  • Answer questions and provide advice about contract templates, executed contracts, contract process, status updates, and internal policies
  • Lead or support additional projects as needed, potentially including the ongoing ownership of longer-term programs such as the selection, implementation and/or administration of a contract management system
  • Partner with attorneys to improve and maintain regional global versions of contracts

    What we’re looking for:

  • 4+ years of relevant experience in an in-house legal department at a SaaS or software company; Bachelor’s degree or equivalent work experience required; experience at a fintech company with international operations considered a strong plus; lawyers are welcome, but it is not mandatory to have such strong legal background
  • Extensive experience and skill in reviewing, analyzing drafting, explaining, and negotiating SaaS sales agreements and a track record of successfully helping drive deals to a close, coordinating the resolution of business and legal issues and questions and follow-up responses with other departments within the organization.
  • You are energetic, focused and results oriented with a high level of integrity and honesty, and an ability to work with a sense of urgency while always exercising sound judgment within defined policies and guidelines.
  • Track record of maintaining a keen attention to detail while executing in a fast-paced, international and growing corporate environment
  • Strong, confident and astute negotiator with excellent judgment and an ability to quickly build rapport with the customers’ procurement and/or legal teams.  You’re a clear and concise communicator when writing and speaking.
  • Track record and passion for building and continually improving processes optimized to be collaborative and enable scale
  • Basic familiarity with data privacy regulations and security issues as they relate to modern SaaS contracts; experience reviewing data privacy and security agreements
  • High proficiency in Microsoft applications (including Office and Excel), with familiarity and expertise in Salesforce, Docusign, Slack (or similar tools), Smartsheet, and leading project management and CLM solutions a bonus
  • Passionate about technology and energized by the challenges of serving a dynamic, international and growing technology-focused company
  • Ability to simultaneously manage workloads, multiple business partner demands, and shifting priorities within a fast-paced, rapidly evolving environment
  • Strong desire to learn the business and about our new technologies, products and platforms and new areas of law and to function integrally as part of an interdisciplinary team
  • Able to operate autonomously while also being a team player who brings a positive “can do” attitude to the workplace and embraces working collaboratively with other members of the Legal team and with internal corporate clients
  • Having a sense of humor and a thick skin is a plus; flexibility and an ability to adapt to and learn about our evolving and growing technology offerings is an absolute must
